These Terms govern your use of Xpenvo, an AI-powered personal finance application available on the web and as an installable app. Please read them carefully before using the service. These Terms, together with our Privacy Policy, form the complete agreement between you and Xpenvo.

Not Financial Advice: Xpenvo and Zara provide informational tools only. Nothing in this app constitutes professional financial, investment, tax, or legal advice. Always consult a qualified professional before making financial decisions.

About these Terms

These Terms of Service ("Terms") are a legal agreement between you and Xpenvo ("Xpenvo", "we", "us" or "our"). We operate the Xpenvo web app at https://xpenvo.com and its installable app version, and the features, content and tools inside them (together, the "Service").

By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

In plain words: Xpenvo is a tool that helps you record and understand your money. It is not a bank and not a financial adviser, and Zara is an AI that can make mistakes. You stay in charge of your own financial decisions.

What Xpenvo is, and what it is not

Xpenvo is an AI-assisted personal finance tool. Depending on your plan, it lets you record transactions, manage budgets, savings goals, debts, subscriptions, wallets, invoices and shared expenses, track net worth, see reports and forecasts, use financial calculators, and talk to Zara, our AI money coach.

Xpenvo works from the information you enter or import. It does not connect to your bank accounts, and it does not hold, send, receive or move your money. We are not a bank, lender, broker, payment institution, investment firm, tax preparer, accountant or financial adviser.

Figures such as "safe to save", goal checks, forecasts, scores and reports are calculated estimates based only on what you have entered. See "Not financial advice".

We may add, change or remove features. If a change materially reduces a paid plan, see "Changes, availability and our content".

Who can use Xpenvo

You must be at least 18 years old, or the age of legal majority where you live if that is higher, and able to enter into a binding contract. The Service is not directed at children and we do not knowingly allow anyone under 18 to hold an account. We may close any account we reasonably believe belongs to someone under 18.

You may not use the Service if you are barred from receiving it under applicable law, including trade sanctions and export control laws, or if we have previously closed your account for a serious breach of these Terms.

You may use Xpenvo for your own personal finances and for the finances of your own freelance or small business. You may not use it to provide regulated financial, tax or accounting services to other people.

Your account

To use most features you need an account with a valid email address and a password. You agree to give accurate information and to keep it up to date.

One person, one account. Creating several accounts to get around usage limits, plan benefits or referral rewards is not allowed and may lead to all of those accounts being closed.

Keep your password private. You are responsible for activity under your account unless it results from our failure to protect it. Tell us straight away at [email protected] if you think someone else has accessed it.

For your protection, sessions end automatically after 30 minutes of inactivity, and we may send you sign-in alerts. Always sign out on shared devices.

Plans, billing and renewals

Plans: Xpenvo offers a Free plan, a paid Pro plan, and invitation-only Beta access. What each plan includes, including daily AI usage limits, is shown in the app and on our pricing page. Limits and features can change. We will give notice of reductions to a paid plan as described in "Changes, availability and our content".

Who sells Pro: Paid subscriptions are sold to you by our payment partner Dodo Payments, which acts as Merchant of Record. Dodo Payments takes your payment, appears on your card or bank statement, calculates and collects any VAT, GST or sales tax, handles payment disputes, and processes refunds on our behalf. Your purchase is also subject to Dodo Payments' own terms shown at checkout. We never see or store your full card details.

Price and renewal: Before you pay, checkout shows the price, the billing period (monthly or yearly) and any taxes. Pro is a recurring subscription. Unless you cancel before the renewal date, it renews automatically for the same billing period at the price then in force, and your payment method is charged each time. By starting a subscription you expressly agree to these recurring charges.

Price changes: If we increase the price of your subscription, we will email you at least 30 days before the new price applies. You can cancel before then and you will not be charged the new price.

How to cancel: You can cancel at any time, online, without a fee. Use "Manage or cancel subscription" in your Settings, which opens the Dodo Payments customer portal, or email us at [email protected] and we will cancel it for you. Cancelling stops future renewals. You keep Pro until the end of the period you have paid for, unless a refund applies under this Section.

Renewal reminders: Where the law requires a reminder before renewal (for example for yearly plans in some US states), we or Dodo Payments will email it to you before you are charged.

Cooling-off and refunds: If you are a consumer in the EU or UK, you have a legal right to cancel a new subscription within 14 days of buying it. If you ask for Pro to start immediately and then cancel within those 14 days, we may deduct a proportionate amount for the access you have already used. Wherever you live, our own policy is more generous: you can ask for a full refund of a first subscription payment within 14 days of that payment, and of a yearly renewal payment within 14 days of that renewal, by emailing [email protected]. Refunds go back to your original payment method through Dodo Payments. Outside these windows, payments are non-refundable except where the law says otherwise.

Failed payments: If a payment fails we may retry it and may move your account to Free until it is paid. We do not delete your data just because a payment failed.

Free and Beta: Free access costs nothing. Beta access is provided at no charge and can end under "Beta access".

Taxes: Prices may exclude taxes. Dodo Payments collects and pays the taxes it is responsible for. Any other taxes on your use of the Service are your responsibility.

Zara and the AI features

Zara is an artificial intelligence system, not a person. When you chat with Zara or use another AI feature, you are interacting with software.

How it works: To answer you, we send your message and the parts of your financial information needed to respond to AI service providers (currently Anthropic, for Zara, receipt and statement reading and web search). They process it for us under their business terms. Our Privacy Policy explains what is sent and how long providers keep it.

Accuracy: AI output is produced by a statistical model. It can be wrong, incomplete or out of date, and can miss important facts about your situation, including when it uses information from the web. Check anything important yourself before you act on it.

What Zara does not do: Zara does not make decisions about you, does not approve or refuse anything, cannot change your data or settings, and cannot open accounts or move money. Anything Zara suggests is for you to evaluate.

Limits and fair use: AI features have daily limits that depend on your plan. You must not try to get around the limits, extract Zara's instructions, or use the AI features to train another AI model or to build a competing product. Using the Service directly, instead of through the app, to get past a limit is also not allowed, and we may suspend accounts that do.

Availability: AI features depend on third-party services and may be slow, limited or unavailable at times. We do not guarantee them.

Your inputs: Do not enter information you are not comfortable having processed by the AI providers described in our Privacy Policy, such as government ID numbers, full card numbers or passwords.

Not financial advice

THE SERVICE, INCLUDING EVERYTHING ZARA SAYS, IS GENERAL INFORMATION AND EDUCATION ONLY. IT IS NOT PERSONAL FINANCIAL, INVESTMENT, CREDIT, DEBT, TAX, ACCOUNTING OR LEGAL ADVICE, AND IT IS NOT A PERSONAL RECOMMENDATION TO DO OR NOT DO ANYTHING.

We are not authorised or regulated as a financial adviser, investment adviser, credit broker, debt adviser or tax adviser by the Financial Conduct Authority, the US Securities and Exchange Commission, any US state regulator, or any other financial regulator. Xpenvo does not take account of your full circumstances, risk tolerance, tax position or local rules.

Debt and credit: Zara and the debt tools can explain general options and run what-if numbers, but they are not debt advice. If you are struggling with debt, free independent help is available, for example from MoneyHelper, StepChange or Citizens Advice in the UK, or from a nonprofit credit counselling agency in the US, such as those in the National Foundation for Credit Counseling.

Estimates: Figures such as safe to save, goal checks, forecasts, health scores and reports are estimates built only from the transactions and settings you provide. They can be wrong if your entries are missing, late or inaccurate, or if your situation changes. They are not a forecast or promise of future income, and they are not a recommendation to save or spend any amount.

Income ideas: Income ideas and market information are general suggestions. We do not guarantee that any idea will produce income, clients or results, and rates and market information may be inaccurate or out of date. Check the rules, taxes and legality that apply to you before acting.

Speak to a qualified, licensed professional before making a significant financial, tax or legal decision. You are responsible for your own decisions and for what you do with information from the Service.

Your data and content

Your data stays yours. You own the financial information and other content you enter ("Your Content"). You give us a limited, worldwide, non-exclusive, royalty-free licence to host, copy, process and display Your Content only as needed to run and secure the Service, provide your features (including sending it to the AI and other providers described in our Privacy Policy), and comply with the law.

You are responsible for Your Content: that it is accurate, that you have the right to enter it, and that it does not break the law or anyone else's rights. Please avoid entering other people's sensitive personal details.

Not your official records: Xpenvo is a planning and tracking tool, not an accounting system of record. Keep your official statements, invoices and tax records, and keep your own copies of anything you cannot afford to lose. You can export your data from Settings, and you can also ask us for a copy by email at any time, free of charge.

Deleting: You can delete your account from Settings at any time. What happens to your data is set out in our Privacy Policy.

Aggregated insights: We may use data that has been aggregated or anonymised so that it cannot identify you to understand and improve the Service.

Beta access

Beta access is offered by invitation at no charge, gives access to Pro features while we test them, and is provided as is. We can change or end it at any time.

Beta features may be unfinished, contain bugs or change. Do not rely on them for anything critical.

When the beta ends, your access will either move to a paid plan, only if you choose and confirm that at checkout, or return to Free. We will give you at least 14 days' notice by email.

Feedback you give may be used by us without obligation. It does not entitle you to payment or ownership of anything.

Referral and affiliate programmes

Referral and affiliate programmes are optional and run under their own rules, which are shown when you join. If you take part, you must follow the law on advertising and endorsements (for example FTC rules in the US and ASA and CMA rules in the UK), clearly disclose that you may earn a commission, and not make misleading claims about Xpenvo.

We may refuse, withhold or reverse rewards for fraud, fake accounts, self-referrals or breaches of these Terms, and may end your participation at any time.

Shared links and expense splitting

The expense-splitting feature lets you create shared records and links. Anyone who has a link can view the details in that split, even without an account. Share links only with people you intend to see them, and do not include sensitive information.

We are not responsible for access that results from you sharing a link. Splits are for tracking only. Xpenvo does not collect or transfer money between people.

Acceptable use

You agree not to: break any law or regulation; infringe anyone's rights; upload malicious code or harmful, defamatory, harassing or fraudulent content; try to access other users' data or accounts; probe, scan or test the security of the Service without our written permission; reverse engineer or copy the Service, except where the law allows; use bots, scrapers or automated means to access the Service or overload it; create multiple accounts to exploit limits or rewards; impersonate anyone; resell or sublicense access; or use the Service to provide regulated financial services to other people.

If you find a security vulnerability, please tell us at [email protected] and give us a reasonable time to fix it before you disclose it. We will not take action against good-faith research that follows this approach and avoids accessing other people's data.

We may investigate suspected breaches and suspend or end accounts where we reasonably believe there has been a serious breach.

Third-party services and links

The Service relies on third parties, including Supabase (database and sign-in), Cloudflare (hosting and security), Anthropic (AI), Dodo Payments (billing), Resend (email) and others listed in our Privacy Policy. Their services are governed by their own terms. We are not responsible for their acts or failures, although we take care in choosing them.

The Service may link to other websites. We do not control them and are not responsible for their content or practices.

Changes, availability and our content

Availability: We work to keep the Service available, but we do not guarantee uninterrupted or error-free operation. We may carry out maintenance, and outages at our providers may affect the Service.

Changes to the Service: We may change or discontinue features. If we make a change that materially reduces a paid plan, we will give you at least 30 days' notice by email, and you may cancel and ask for a refund of the unused part of your paid period.

Changes to these Terms: We may update these Terms. We will tell you about material changes by email or in the app at least 14 days before they take effect (30 days where they affect price or paid features). If you keep using the Service after that date, you accept the changes. If you do not agree, you can stop using the Service and delete your account.

Our property: The software, design, text, logos and brand of the Service belong to us or our licensors and are protected by law. We give you a personal, non-exclusive, non-transferable right to use the Service under these Terms. Feedback or ideas you give us may be used by us freely.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ANY AI OUTPUT WILL BE ACCURATE, COMPLETE, UNINTERRUPTED, SECURE OR ERROR-FREE.

Your legal rights: If you are a consumer, you may have legal rights that cannot be excluded, for example under the Consumer Rights Act 2015 in the UK, under consumer protection law in the EU, and under local law elsewhere. Nothing in these Terms removes them.

Limits on our liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

SUBJECT TO THAT, AND TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE LOSS; FOR LOSS OF PROFIT, REVENUE, SAVINGS, DATA, GOODWILL OR OPPORTUNITY; OR FOR LOSS ARISING FROM DECISIONS YOU MAKE USING THE SERVICE OR AI OUTPUT.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AND USD 50.

If you are a consumer, we are responsible for foreseeable loss and damage caused by our failure to use reasonable care and skill, and the limits above apply only to the extent the law allows. We are not responsible for loss that was not foreseeable or that results from events beyond our reasonable control.

Your responsibility to us

If you breach these Terms or misuse the Service, and that causes a third party to bring a claim against us or causes us loss, you agree to cover our reasonable losses and costs, to the extent permitted by law. If you use the Service for business purposes, this also covers claims arising from that business use and from Your Content.

Ending your use

By you: You can stop using the Service at any time. You can delete your account from Settings or by emailing [email protected]. Deleting your account does not by itself cancel a paid subscription, so please cancel it first as described in "Plans, billing and renewals".

By us: We may suspend or end your access if you seriously or repeatedly breach these Terms, use the Service unlawfully, do not pay, or put the Service or other users at risk. Where reasonable we will tell you why and give you a chance to fix the problem first. If we end a paid plan other than because of your breach, we will refund the unused part of your paid period.

What happens next: Your right to use the Service stops. Your data is handled as described in our Privacy Policy. Sections that by their nature should continue (including Not financial advice, Your data and content, Disclaimers, Limits on our liability, Your responsibility to us, Governing law and disputes, and General) continue after your account ends.

Governing law and disputes

These Terms, and any dispute arising from them, are governed by the laws of the State of Wyoming, United States. Subject to the next paragraph, the state and federal courts located in Wyoming have jurisdiction.

Your local consumer rights: If you are a consumer, nothing in these Terms removes the mandatory consumer protections of the country where you live, and you may bring a claim in the courts of that country where the law gives you that right.

Please talk to us first: Before starting formal proceedings, please email [email protected] with the details so we can try to resolve the issue informally. We will aim to reply within 14 days and will try in good faith to resolve it within 30 days. This does not stop you going to court or to a regulator.

Individual claims: To the extent the law allows, claims may be brought only on an individual basis and not as part of a class or representative action. This does not apply where the law does not allow it, including for consumers in the UK, the EU and Australia.

Alternative dispute resolution: UK and EU consumers may be able to use an approved alternative dispute resolution provider. We are not obliged to use one, but we will consider any referral in good faith.

Notices and electronic communications

We will contact you by email at the address on your account and in the app. You agree to receive legally required notices this way, so please keep your email address up to date. To contact us formally, email [email protected].

General

Entire agreement: These Terms, together with our Privacy Policy and any programme rules you have accepted, are the whole agreement between you and us about the Service.

Severability: If any part of these Terms is found to be unenforceable, it will be limited to the minimum extent needed and the rest stays in force.

No waiver: If we do not enforce a right straight away, that does not mean we give it up.

Assignment: We may transfer our rights and obligations under these Terms to a successor, for example in a merger or sale, and will tell you if we do. You may not transfer yours without our written consent.

Events beyond our control: We are not liable for delays or failures caused by events beyond our reasonable control, including outages of our providers, natural disasters, government action or internet disruption.

Third parties: No one other than you and us has rights to enforce these Terms.

Language: These Terms are written in English. If we provide a translation, the English version prevails where the law allows.

Contact and complaints

For any question, support request, legal notice or complaint, email [email protected]. We aim to reply within 5 business days.

These terms protect both you and Xpenvo
